This Subscription Services Agreement (this “Agreement”) is entered into by and between PharosLife, Inc., a Delaware corporation with offices at 1311 Park St, Unit #676, Alameda, CA 94501 (“PharosLife,” “we,” “us,” or “our”), and the individual who registers for and subscribes to the Subscription Services (“Subscriber,” “you,” or “your”). This Agreement is effective as of the date you first accept it in any of the ways described below, whichever occurs first (the “Effective Date”). BY CLICKING “I AGREE,” COMPLETING THE SUBSCRIPTION CHECKOUT PROCESS, OR ACCESSING OR USING THE SUBSCRIPTION SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT ACCESS OR USE THE SUBSCRIPTION SERVICES.

2. Subscription Grant; Scope of Access
2.1 Grant. Subject to your compliance with this Agreement and your timely payment of all Subscription Fees, PharosLife grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Subscription Services during the Subscription Term in connection with your own and your family's life planning and organization and, where you create a profile for another person in accordance with Section 9, that person's life planning.
2.2 Nature of the Subscription Services. The Subscription Services are a guidance and organization platform designed to help individuals and families plan and organize life information, prepare for major life events, and navigate logistical and operational tasks during times of change or loss. The Subscription Services do not access or control financial accounts, do not execute transactions on your behalf, and are not a substitute for professional advice, as further described in Section 13.
2.3 Restrictions. You will not, and will not permit any third party to: (a) copy, reproduce, distribute, publicly display, or create derivative works of the Subscription Services or any content or materials made available through the Platform; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the Platform; (c) resell, sublicense, rent, lease, or otherwise make the Subscription Services available to any third party except as expressly permitted under Section 9; (d) circumvent or interfere with any access controls, usage limits, or security features of the Platform; (e) use any automated means to access, scrape, or extract data from the Platform; or (f) use the Subscription Services to develop, train, or improve any competing or substantially similar product or service.
2.4 Modifications to the Subscription Services. PharosLife is an evolving platform. PharosLife may modify, add, or remove features and functionality of the Subscription Services from time to time. PharosLife will not materially reduce the core functionality of your Subscription Plan during a paid Subscription Term without providing you the notice and cancellation rights described in Sections 22.1 and 22.2.
2.5 Support. PharosLife will provide the support included in your Subscription Plan. Support requests may be submitted to support@mypharoslife.com. PharosLife provides support by email, Monday through Friday, 9:00 a.m. to 5:00 p.m. Pacific Time, excluding U.S. federal holidays. PharosLife aims to respond to support requests within two (2) business days. Response times are targets and not guarantees. All Subscription Plans receive the same level of support, and PharosLife does not currently offer a premium support tier.
3. Eligibility; Account Registration and Security
3.1 Eligibility. To subscribe to and use the Subscription Services, you must (a) be at least 18 years of age, (b) reside in the United States, and (c) have the legal capacity to enter into a binding agreement. The Subscription Services are not offered to, and may not be used by, individuals under 18 years of age. You will be asked to confirm that you meet these requirements when you register, and each individual who accepts an invitation to join a Family plan or to act as a Delegate must confirm the same. You may create and manage a profile containing information about a minor child in accordance with Section 9.2, provided you are that child's parent or legal guardian.
3.2 Registration. You agree to provide accurate, current, and complete information when creating your Account and to keep that information updated. You represent and warrant that all information you provide is accurate and current and that you have the legal capacity and any necessary authorization to share it with PharosLife.
3.3 Account Security. You are responsible for maintaining the confidentiality of your Account credentials and for all activity occurring under your Account. You agree to notify PharosLife promptly at support@mypharoslife.com if you become aware of any unauthorized access to or use of your Account.
3.4 Account Credentials; Multiple Accounts. Your Account credentials are personal to you and may not be shared. You may hold more than one Plan Account, and you may be invited to access Plan Accounts held by others, subject to the rules in Section 4.2. “Authorized User” means an individual you invite and authorize to access your Account or a Plan Account within it in accordance with Section 9, including a Covered Member or a Delegate.
4. Subscription Fees, Billing, and Taxes
4.1 Subscription Fees. You agree to pay the Subscription Fees for the Subscription Plan you select, at the rates and on the billing frequency stated at checkout.
PharosLife currently offers the following Subscription Plans:
(a) Individual. $15.00 per month, or $144.00 per year paid in advance. Includes one (1) Plan Account, thirty (30) AI Credits per month, and one (1) Backup Account.
(b) Family. $40.00 per month, or $384.00 per year paid in advance. Includes five (5) places, each for one living person's planning Plan Account, one of which is the owner's; one hundred fifty (150) AI Credits per month, shared by the owner and all Covered Members; and an unlimited number of Backup Accounts.
(c) Add-ons. Each Additional Plan Account and each Extra Family Place is $8.00 per month, and edit access for a Delegate is $8.00 per month per Delegate, as described in Section 4.2. Add-ons are billed monthly, separately from your Subscription Plan, whether your Subscription Plan is billed monthly or annually. Additional AI Credits may be purchased as described in Section 4.3.
Free Trial
Trial Period. Each new Account begins with a free trial of the Individual plan described in Section 4.1(a) (the "Free Trial"), except as described in this paragraph. The Free Trial starts when you create your Account and ends seven (7) days later (the "Trial Period"). You do not need to provide a payment method to begin the Free Trial, and you will not be charged for it. During the Trial Period, this Agreement applies to your use of the Subscription Services, except for the obligation to pay Subscription Fees. An Account created to accept an invitation to join a Family plan or to act as a Delegate does not begin a Free Trial. Your Free Trial remains available to you, and begins if you later hold a Plan Account that no one else pays for, including when you leave a Family plan under Section 4.2(c).
Trial Features. The Free Trial includes the features of the Individual plan, except that your AI Credit allowance during the Trial Period is five (5) AI Credits, and you may not purchase additional AI Credits. These five (5) AI Credits count toward the Individual plan's monthly allowance: when your Individual subscription starts, your AI Credit balance is raised to thirty (30) AI Credits for that month. You may add Additional Plan Accounts during the Trial Period. Each is charged at the rate in Section 4.1(c) from the day you add it, and Section 6.6 applies to it if you do not select a Subscription Plan by the end of the Trial Period. You may invite Delegates during the Trial Period as described in Section 4.2(e); edit access is charged when the invitation is sent, as described in Section 4.2(e), and ends with your Free Trial if you do not select a Subscription Plan. Features available only on the Family plan are not included in the Free Trial.
Selecting a Plan During the Trial. You may select a Subscription Plan at any time during the Trial Period. When you do, you will provide a payment method and give the affirmative consent to automatic renewal described in Section 6.5. If you select the Individual plan, your paid Subscription Term will begin, and your payment method will first be charged, on the day after the Trial Period ends. If you select the Family plan, your payment method is charged and your Family plan begins when you confirm, and your Free Trial ends at that time. Before the Trial Period ends, PharosLife will show you the Subscription Plan you selected, the amount to be charged, the date of the first charge, and how to cancel. You may cancel before the Trial Period ends, as described in Section 6.3, and you will not be charged.
If You Do Not Select a Plan. If you do not select a Subscription Plan by the end of the Trial Period, your subscription will not begin, and you will not be charged any Subscription Fee for it. Your Account will enter the Locked Period described in Section 6.4. For thirty (30) days after the Trial Period ends, you may export your Subscriber Content or select a Subscription Plan to restore full access. PharosLife will notify you by email before the end of that period. If you do not select a Subscription Plan before that period ends, PharosLife will delete your Subscriber Content as described in Section 18.3.
One Free Trial. The Free Trial is available once per person. PharosLife may decline to offer a Free Trial, or may end one early, if it reasonably believes that you have previously received a Free Trial or that the Free Trial is being used in violation of this Agreement.
If you elect an annual Subscription Plan, the annual Subscription Fee is payable in full in advance for the entire annual Subscription Term. Your total charges in a given billing period may exceed the base Subscription Fee for your plan if you add Additional Plan Accounts, give a Delegate edit access, or purchase additional AI Credits during that period.
4.2 Plan Accounts, Family Members, and Delegates.
(a) Individual Plan. The Individual plan includes one (1) Plan Account. Whether it is used to plan ahead or to navigate a loss is set by how you first use it. You may hold only one Plan Account about yourself on any Subscription Plan.
(b) Family Plan. The Family plan includes five (5) places. Each place holds one living person's planning Plan Account, and the owner's own planning Plan Account uses one of them. A life-event Plan Account is never part of a Family plan, including the owner's; it is held outside the Family plan as an Additional Plan Account. A person who belongs to more than one Family plan uses a place in each. Only the owner may fill places, either by inviting a person or by creating a planning Plan Account inside the Family plan for someone else. Only the owner may buy places beyond five (each, an "Extra Family Place"), at the rate in Section 4.1(c). Each Extra Family Place is tied to one Plan Account when it is bought and renews monthly. If an Extra Family Place is cancelled, or its payment is not made by the end of the Grace Period, only the Plan Account tied to it enters the Locked Period. An invitation expires seven (7) days after it is sent and uses no place until it is accepted. If all places are in use when an invitation is accepted, the acceptance will be declined.
(c) Covered Members. A member who joins a Family plan brings their own personal Plan Account into it and becomes a Covered Member. A Covered Member pays nothing for that Plan Account, and the owner is responsible for all Subscription Fees for the Family plan. If you hold your own Individual subscription, you must cancel it before joining a Family plan. Any other Plan Accounts a Covered Member holds stay outside the Family plan and are billed to that Covered Member as Additional Plan Accounts. If you leave or are removed from a Family plan, your personal Plan Account leaves with you. If you have not used your Free Trial, it begins then; otherwise, you must select a Subscription Plan, or your Plan Account will enter the Locked Period described in Section 6.4.
(d) Additional Plan Accounts. If you hold an Individual plan, own a Family plan, are in an active Free Trial, or are a Covered Member, you may add Additional Plan Accounts outside any Family plan, at the rate in Section 4.1(c), charged to your own payment method. You may not hold an Additional Plan Account without one of these. There is no limit on the number of Additional Plan Accounts you may hold.
(e) Delegates. On any Subscription Plan, you may invite a Delegate to view or edit a life system, or part of one, in a Plan Account you own. View access is free. Edit access is charged at the rate in Section 4.1(c) for each Delegate, however much you share with them, and is charged to the person who pays for that Plan Account. Edit access is charged when the invitation is sent and renews each month until you revoke it. If the Delegate never accepts, the charge is not refunded and simply does not renew. If the Plan Account is inside a Family plan, the owner pays, and edit access begins only after the owner approves it; until then, the Delegate has view access. A Delegate pays nothing, does not need a Plan Account of their own, does not use a place in any Family plan, and does not receive AI Credits. Sharing with members of your own Family plan using the Platform's family sharing features is included in the Family plan at no additional charge.
(f) Backup Accounts. Backup Accounts do not count toward any limit in this Section 4.2.
4.3 AI Credits. Certain AI-enabled features described in Section 12 consume AI Credits. Your Subscription Plan includes the monthly AI Credit allowance stated in Section 4.1, which resets on the first day of each calendar month and does not carry over to any later period. On the Family plan, the monthly allowance is shared by the owner and all Covered Members, with no per-member limit. Delegates do not receive AI Credits. You may purchase additional AI Credits, where available for your Subscription Plan, at the then-current rates stated at checkout. Purchased AI Credits are not removed by the monthly reset and remain available while your subscription is active. AI Credits have no cash value, are non-refundable, and may not be transferred, resold, or redeemed outside the Subscription Services.
4.4 Payment Processor. Subscription Fees are processed by our third-party payment processor. By providing payment information, you authorize PharosLife and its payment processor to charge your designated payment method for all Subscription Fees, applicable taxes, and other amounts due under this Agreement, on a recurring basis until your subscription is cancelled in accordance with Section 6. Your use of the payment processor’s services is also subject to that provider’s terms and privacy practices, and PharosLife is not responsible for the acts or omissions of the payment processor.
4.5 Authorization to Charge; Failed Payments. You represent that you are authorized to use the payment method you provide, and you agree to keep your payment information current. If a charge fails or is reversed, PharosLife will notify you and will retry the charge. On a Family plan, PharosLife will also notify each Covered Member when the charge first fails. You will keep full access for fourteen (14) days after the failed charge (the "Grace Period"). If the amount due remains unpaid at the end of the Grace Period, your Account and each Plan Account you pay for will enter the Locked Period described in Section 6.4, and Section 6.6 will apply to your Additional Plan Accounts. During and after the Grace Period, a Covered Member may either (a) pay that month's Family plan Subscription Fee with their own payment method, which is a one-time charge that does not renew automatically and does not make that Covered Member the owner of the Family plan; or (b) leave the Family plan as described in Section 4.2(c).
4.6 Taxes. Subscription Fees include any applicable sales, use, excise, value-added, and similar taxes that PharosLife is required to collect, so the price shown at checkout is the total you pay. Where such a tax applies, your receipt shows the tax amount.
4.7 Fee Changes. PharosLife may change its Subscription Fees. Any fee change will take effect at the start of your next Renewal Term, and PharosLife will provide you clear and conspicuous notice of the fee change, together with instructions on how to cancel, in a form you can retain, not less than fifteen (15) days and not more than thirty (30) days before the fee change takes effect, to the email address associated with your Account. Where required by applicable law, before charging you an increased price PharosLife will either (a) obtain your affirmative consent to the increased price, or (b) allow you to cancel within at least fourteen (14) days after the charge and receive a pro-rated refund for the remainder of your then-current Subscription Term. If you do not agree to a fee change, you may cancel your subscription before the change takes effect, as described in Section 6.3.
4.8 Currency. All Subscription Fees are stated and payable in U.S. dollars unless otherwise stated at checkout.
4.9 Changing Plans. You may change your Subscription Plan or billing frequency through the subscription settings in your Account.
(a) Upgrades. If you upgrade from the Individual plan to the Family plan, the change takes effect immediately. To upgrade to the Family plan, you name your Family plan and, if you do not already hold a planning Plan Account about yourself, create one; when your payment is confirmed, that Plan Account becomes the first of your five places, and any other Plan Accounts you hold stay outside the Family plan as Additional Plan Accounts. PharosLife will charge you a prorated amount for the remainder of your current billing period, credited for the unused portion of your prior plan, and your new rate applies from your next billing date. If you change from monthly to annual billing, the change takes effect immediately and the annual Subscription Fee is charged at that time; no credit is given for the unused part of your monthly billing period. Add-ons are billed as described in Section 4.1(c).
(b) Downgrades. If you downgrade from the Family plan to the Individual plan, or change from annual to monthly billing, the change takes effect at the end of your then-current billing period. You will keep the features of your current plan until then, and no refund or credit will be issued for the remainder of that period. Before you confirm a downgrade from the Family plan, PharosLife will tell you how many Covered Members it affects and the date it takes effect, and PharosLife will notify each of them when the downgrade is scheduled.
(c) Effect of a Downgrade. When a downgrade takes effect, the limits of your new Subscription Plan apply. You keep your own personal Plan Account. Each Covered Member's Plan Account leaves the Family plan as described in Section 4.2(c). For each other Plan Account that exceeds your new plan's limits, you may choose to keep it as an Additional Plan Account at the rate in Section 4.1(c); any you do not keep will enter the Locked Period described in Section 6.4 and can be restored by upgrading. Delegates keep their access. If you have designated more Backup Accounts than your new plan allows, all of them remain designated and may still act under Section 9.7, but you may not add a Backup Account until you are within your new plan's limit.
5. Promotional Offers
5.1 Promotional Pricing. Any discounted, introductory, or promotional rate applies only for the period stated in the offer. At the end of that period, your subscription will renew at the then-current standard rate for your Subscription Plan unless you cancel.
6. Automatic Renewal; Cancellation
6.1 AUTOMATIC RENEWAL. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNLESS AND UNTIL YOU CANCEL IN ACCORDANCE WITH SECTION 6.3. IF YOU SELECT MONTHLY BILLING, YOUR SUBSCRIPTION WILL CONTINUE AND RENEW EACH MONTH UNTIL CANCELLED. IF YOU SELECT ANNUAL BILLING, YOUR SUBSCRIPTION WILL RENEW AT THE END OF EACH ANNUAL SUBSCRIPTION TERM FOR A FURTHER ONE-YEAR RENEWAL TERM. ADD-ONS RENEW EACH MONTH UNTIL CANCELLED, WHATEVER YOUR SUBSCRIPTION PLAN'S BILLING FREQUENCY. AT THE START OF EACH RENEWAL TERM, YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT SUBSCRIPTION FEES FOR YOUR PLAN, TOGETHER WITH ANY CHARGES FOR ADDITIONAL PLAN ACCOUNTS, DELEGATE EDIT ACCESS, OR ADDITIONAL AI CREDITS YOU HAVE ADDED OR USED, SO THAT THE TOTAL AMOUNT CHARGED IN A GIVEN PERIOD MAY EXCEED THE BASE SUBSCRIPTION FEE.
6.2 Renewal Notices. PharosLife will send you renewal reminders and cancellation instructions as required by applicable automatic renewal laws, including the California Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600 et seq.) and the New York Automatic Renewal Law (N.Y. Gen. Bus. Law § 527-a), similar laws in other states, and the federal Restore Online Shoppers' Confidence Act, to the email address associated with your Account or another channel you have selected. For annual Subscription Plans, PharosLife will send this reminder thirty (30) days before each renewal date. For monthly Subscription Plans and add-ons, PharosLife will send a reminder at least once each year. Each reminder will state the Subscription Plan, the renewal date, the amount to be charged (which may include charges for Additional Plan Accounts, Delegate edit access, or AI Credits and may therefore exceed the base Subscription Fee), the payment method on file, and how to cancel. PharosLife maintains a record of each notice sent, including the recipient, the notice content, and the date sent.
6.3 How to Cancel. You may cancel your subscription or any add-on at any time online through the subscription settings in your Account or by emailing support@mypharoslife.com, using the same medium in which you signed up and without any obligation to call PharosLife or complete any additional forms. PharosLife will present the option to cancel with at least equal prominence to the option to manage or renew your plan, both in the Platform and in the notices described in Section 6.2, and will not require you to navigate any retention offer or save flow in order to cancel. Cancellation is effective at the end of your then-current Subscription Term; you will retain access to the Subscription Services through that date, and PharosLife will not charge you for any Renewal Term beginning after your cancellation takes effect. If you cancel a Family plan, PharosLife will tell you how many Covered Members it affects and the date your cancellation takes effect before you confirm, and will notify each Covered Member when the cancellation is scheduled.
6.4 Effect of Cancellation; Locked Period. When your cancellation takes effect at the end of your then-current Subscription Term, your Account and each Plan Account you pay for will be locked for thirty (30) days (the "Locked Period"). The Locked Period also applies where this Agreement refers to it in other circumstances, including the end of a Free Trial, the end of a Grace Period, and a downgrade. Locked Plan Accounts remain listed in your Account but cannot be opened, access you have given Authorized Users is paused, and features of the Subscription Services, including adding or editing Subscriber Content, life events, and AI Credits, are not available. During the Locked Period, you may export your Subscriber Content using the Platform's export feature, whatever your prior Subscription Plan, or select a Subscription Plan to restore full access to your Account, including the access you had given Authorized Users. PharosLife will notify you by email before the end of the Locked Period. If you do not select a Subscription Plan before the Locked Period ends, PharosLife will delete your Subscriber Content as described in Section 18.3. A request to delete your Account under Section 18.4 takes effect even during a Locked Period. Sections 18.2 and 18.3 govern your Subscriber Content following cancellation or termination.
6.5 Affirmative Consent. Before your first charge, PharosLife shows you these automatic renewal terms at checkout and obtains your affirmative consent to them before you complete the purchase. PharosLife maintains a record of your consent, including your identity, the date and time of consent, the version of these terms presented, and the text displayed to you at the time of consent. PharosLife keeps this record for at least three (3) years, or one (1) year after your subscription ends, whichever is longer.
6.6 Extra accounts when your subscription ends
(a) When this applies. Your subscription ends when you cancel it, or when a payment isn’t made by the end of the 14-day grace period. When it ends, every account it covers locks, including your extra accounts.
(b) No charge while locked. We stop charging for your extra accounts when your subscription ends. You are never charged for an account while it is locked.
(c) Your choice. When you cancel, you choose what happens to your extra accounts:
(i) cancel them with your subscription. They are kept for 30 days, like your own plan, and then deleted; or
(ii) keep them locked for up to 90 days.
If you don’t choose, or your subscription ends because a payment wasn’t made, we keep them for 90 days.
(d) While locked. A locked plan can’t be opened or changed, but you can export a copy at no charge. If you subscribe again before it is deleted, your extra accounts and their plans return as they were, and billing for them starts again from that date.
(e) Before deletion. We’ll email you at least 7 days before a locked extra account is deleted. After that, the account and its information are permanently deleted.
(f) Edit access. Edit access you’ve given others ends when your subscription ends, and we stop charging for it.
(g) Backups. This section doesn’t cover accounts that have passed to a Backup. Section 9.8 covers those.
7. All Purchases Are Final
7.1 No Refunds. All purchases are final and non-refundable. This applies to every Subscription Fee and charge, including the Individual and Family plans (whether billed monthly or annually), renewal charges, Additional Plan Accounts, Extra Family Places, Delegate edit access, and purchased AI Credits. You can cancel anytime as described in Section 6.3: your Subscription Plan or add-on stays active until the end of the period you have paid for, and you will not be charged again. Except as stated in Sections 4.7, 4.9(a), 7.2, 7.3, 17.4, and 22.2, there are no refunds or credits for partially used Subscription Terms, unused features, unused AI Credits, or periods during which you did not use the Subscription Services.
7.2 Statutory Rights. Nothing in this Section limits any refund or cancellation right you have under applicable consumer protection law, including any right to cancel and receive a refund under applicable automatic renewal laws.
7.3 Termination by PharosLife Without Cause. If PharosLife terminates your subscription without cause under Section 17.3, PharosLife will refund the pro-rated portion of any prepaid Subscription Fees covering the remainder of your then-current Subscription Term. No refund is owed where PharosLife terminates or suspends your subscription for cause under Section 17.2.
7.4 Acknowledgment Before Purchase. Before each purchase, PharosLife shows you the policy in Section 7.1 next to the price and asks you to confirm, by ticking a box that is not checked in advance, that you understand all purchases are final and non-refundable. You cannot complete the purchase without that confirmation. PharosLife keeps a record of it, including your identity, the date and time, the version of these terms presented, the text displayed to you, and the purchase it applies to, for the period stated in Section 6.5.
8. Acceptable Use; Subscriber Responsibilities
8.1 Permitted Use. You may use the Subscription Services to create personal or family profiles, organize life information across categories, generate and track tasks, workflows, and checklists, and delegate access or visibility as described in Section 4.2.
8.2 Your Obligations. You agree that you will: (a) provide accurate and truthful information; (b) use the Subscription Services only for lawful purposes and in compliance with all applicable laws; (c) not misuse, copy, or disrupt the Subscription Services; (d) never use the Subscription Services as a substitute for, or as a substantial factor in making, a consequential decision, including any decision relating to legal, financial, tax, or medical matters; and (e) not provide PharosLife with personal information about a minor unless you are that minor's parent or legal guardian or otherwise have the legal authority to do so, and you have given the parental consent PharosLife presents to you at the time the minor's profile is created.
8.3 Suspension for Violations. PharosLife may suspend or limit your access to the Subscription Services if PharosLife reasonably determines that your use violates this Agreement, creates a security or legal risk, or may harm PharosLife, other users, or third parties, as further described in Section 17.2.
9. Profiles, Delegation, Third-Party Personal Information, and Account Succession
9.1 Profiles and Roles. The Subscription Services allow you to create profiles for yourself or others (for example, a parent, spouse, or dependent) and to assign roles, permissions, or visibility to Authorized Users.
9.2 Consent for Third-Party Information. You are responsible for having the consent or legal authority required to input, store, or manage another person's personal information through the Platform, and for the accuracy of the representations you make to PharosLife when you do so (for example, as an agent under a power of attorney or as a personal representative). Where you create a Plan Account about another living adult, you may enter general planning information immediately. Personal sensitive information, financial information, and health information in that Plan Account stay locked until (a) the person accepts an invitation from you and consents, (b) you hand the Plan Account over to them under Section 9.13, or (c) you declare, when you create the Plan Account, that you hold a legal authority to act for that person, such as a power of attorney or legal guardianship. PharosLife records a declaration of legal authority but does not verify it, and you are solely responsible for its accuracy. If you invite the person and they object, and confirm their objection using a code sent to their email address, PharosLife will permanently delete the entire Plan Account, including information that was not locked, and you will lose access to it. When you create a profile for a minor child, you represent that you are that child's parent or legal guardian, you agree to provide the child's date of birth accurately, and you give the parental consent PharosLife presents to you before the profile is saved.
9.3 Managing Access. You are solely responsible for configuring and managing access permissions appropriately, including promptly removing access for Authorized Users who should no longer have it. PharosLife is not responsible for disputes arising from shared access or delegation, including disputes among family members, co-users, or third parties. Nothing in this Section 9 limits PharosLife's own obligations under applicable privacy laws to profile subjects, Authorized Users, or other individuals whose personal information is processed through the Platform, including obligations to respond to their requests to access, correct, or delete that information.
9.4 Authorized User Conduct. You are responsible for the acts and omissions of your Authorized Users, and any act or omission by an Authorized User that would breach this Agreement if taken by you will be deemed a breach by you.
9.5 Contacting Authorized Users and Other Individuals. You authorize PharosLife to contact individuals you identify in your Account, including Authorized Users and each Backup Account designated under Section 9.6, at the name, email address, and any telephone number you provide, for purposes of sending invitations, consent and notice requests, the notices described in Section 9.7, and periodic requests to confirm that their contact details remain current. You represent that the contact details you provide are accurate and that you are permitted to share them with PharosLife.
9.6 Backup Accounts. PharosLife will ask you to designate at least one individual who may assume ownership of your Account on your death or incapacity (each, a "Backup Account"). The Individual plan allows one (1) Backup Account, and the Family plan allows an unlimited number. You designate Backup Accounts separately for your Account and for each Family plan you own. Designation requires the individual's name and email address; a telephone number is optional. You are responsible for keeping those details current. When you designate a Backup Account, PharosLife will email that individual to let them know that you have named them and that they have no access to your Account unless the process in Section 9.7 is completed. PharosLife will contact each Backup Account periodically, no less often than every six months, to confirm that their details remain accurate, and a Backup Account's failure to respond does not by itself invalidate the designation. If an email to a Backup Account cannot be delivered, PharosLife will tell you so that you can correct their details or designate a replacement, but the designation is not cancelled.
9.7 Activation on Death or Incapacity. A Backup Account may request ownership of your Account by attesting to your death or incapacity. Only an individual you have designated as a Backup Account may make this request. On receiving that attestation, PharosLife will notify you by email at the address associated with your Account, with a link you can use to stop the transfer, and ownership will not transfer before the end of a waiting period of seven (7) days following the attestation. You may reject the request at any time during the waiting period, and PharosLife will not treat your failure to respond as consent to the transfer. Once a transfer to one Backup Account is complete, PharosLife will not accept a request from another.
9.8 Effect of Transfer. On transfer, the Backup Account assumes ownership of the Account and the rights and obligations of the Subscriber under this Agreement, and must accept this Agreement as a condition of that assumption.
(a) Remaining Subscription Term. Any portion of the prior owner's Subscription Term that was paid for before the transfer continues for the new owner at no charge until it ends. If no paid term remains, the new owner will have full access for seven (7) days after the transfer before subsection (c) applies.
(b) Payment Method. On transfer, PharosLife will stop charging the prior owner's payment method, and the Subscription will not automatically renew on it. To continue the Subscription after the paid term ends, the new owner must select a Subscription Plan, provide their own payment method, and give the affirmative consent to automatic renewal described in Section 6.5. Responsibility for Subscription Fees accruing after the transfer passes to the new owner.
(c) Estate Lock Period. If the new owner does not select a Subscription Plan by the end of the paid term or the seven (7) day period in subsection (a), the transferred Plan Accounts will be locked as described in Section 6.4, except that they will remain locked, and will not be deleted, for twelve (12) months (the "Estate Lock Period") instead of thirty (30) days. During the Estate Lock Period, the new owner may export Subscriber Content at no charge and may select a Subscription Plan at any time to restore full access. PharosLife will notify the new owner by email at least thirty (30) days before the Estate Lock Period ends. If the new owner does not select a Subscription Plan by the end of the Estate Lock Period, PharosLife will delete the Subscriber Content as described in Section 18.3.
(d) Other Remedies. Nothing in this Section limits PharosLife's right to suspend or terminate the Account under Section 17.2 for reasons other than non-payment, including if the new owner does not accept this Agreement.
(e) Family Plans. If the prior owner owned a Family plan, the Family plan and any remaining paid term pass to the new owner, and each Covered Member keeps their coverage through that term. Before the new owner accepts the transfer, PharosLife will tell them that continuing the Family plan after that term requires paying its Subscription Fees. If the new owner does not continue it, PharosLife will notify each Covered Member at least fourteen (14) days before their coverage ends, and Section 4.2(c) will apply. If the new owner already owns a Family plan, they may hold both for ninety (90) days, after which they must transfer one or close one.
(f) What Does Not Transfer. The new owner will not be able to open any part of a Plan Account that the prior owner declined to consent to under the Privacy Policy or the Health Privacy Policy, or that remained locked under Section 9.2, and PharosLife will not unlock it by any means. Access that other people had given the prior owner to their own Plan Accounts does not transfer. If the prior owner had requested deletion of their Account under Section 18.4 and the deletion had not yet taken effect, the attestation cancels the deletion request. If the prior owner then stops the transfer, the deletion request resumes with the time that remained.
9.9 Verification; Reversal. PharosLife may require additional verification before or after a transfer, may decline a request it reasonably believes to be inaccurate or fraudulent, and may suspend or reverse a transfer if it learns that an attestation was false, including where the prior owner signs in to show that they are living. PharosLife is not liable for acting in good-faith reliance on an attestation that appears valid, except to the extent that liability cannot be limited under applicable law.
9.10 Competing Claims. PharosLife will transfer ownership of an Account only to a Backup Account under Section 9.7. If anyone else, including an executor, personal representative, or next of kin, claims authority over an Account, or if any person disputes a transfer, PharosLife will act only on the written agreement of the claimants or an order of a court of competent jurisdiction, and may restrict access to the affected Plan Accounts while it reviews the claim. Nothing in this Section obligates PharosLife to determine the validity of any claim or to participate in a dispute among claimants.
9.11 Records of Changes; Deletion After Transfer. Changes made to an Account after a transfer are recorded in an activity log identifying the date and time of the change, the information before and after the change, and the person who made it. That log is retained in a form the Account owner cannot alter or delete. Content deleted by a new owner is retained for ninety (90) days following deletion, during which it may be restored if the prior owner returns or a claim is disputed, and permanent deletion may be deferred until settlement of the deceased owner's estate. This Section is an exception to Section 18.3.
9.12 Transfer While Living. You may transfer ownership of a family Account you hold to another individual. The transfer takes effect only after you approve it through a link PharosLife sends to the email address associated with your Account, and the individual receiving it accepts the transfer and provides their own payment method. The transfer is not complete until their subscription is confirmed, at which point the Family plan's subscription and billing move to them and your billing for the Family plan stops. You remain in the Family plan as a Covered Member unless you choose to leave it, and PharosLife will tell the new owner before they accept that they will pay for your place.
9.13 Handing Over a Plan Account. You may hand over a single Plan Account you own to another individual. The handover takes effect only after you approve it through a link PharosLife sends to the email address associated with your Account and the recipient accepts it within seven (7) days. When it takes effect, you lose all access to that Plan Account, it leaves any Family plan it was in, and the recipient becomes responsible for it under this Agreement, including any Subscription Fees. If the recipient has not used their Free Trial, it begins then; otherwise, the Plan Account will be in the Locked Period until the recipient selects a Subscription Plan or adds it as an Additional Plan Account. PharosLife will tell the recipient this before they accept.
10. Prohibited Data; Data Sensitivity Limits
10.1 Prohibited Data. The Platform is designed to minimize risk through data minimization and is not intended for the storage of highly sensitive information. You agree not to upload, submit, or store in the Platform any of the following (“Prohibited Data”): (a) Social Security numbers; (b) full financial account numbers; (c) passwords or login credentials for other accounts; and (d) government-issued identification numbers.
10.2 Consequences. Submitting Prohibited Data violates this Agreement. PharosLife disclaims all liability arising from your submission or storage of Prohibited Data and may delete Prohibited Data or suspend or terminate your Account in accordance with Section 17.2.
10.3 No PHI; No HIPAA Relationship. PharosLife is not a health care provider, health plan, health care clearinghouse, or business associate under the Health Insurance Portability and Accountability Act (“HIPAA”), and does not create or maintain protected health information (“PHI”) on behalf of any covered entity. You may not use the Subscription Services on behalf of a HIPAA covered entity or business associate to create, receive, maintain, or transmit PHI, and this Agreement is not a business associate agreement. Nothing in this Section limits your ability to record your own or your family's health information for personal life-planning purposes.
10.4 Intended Scope. The Subscription Services are intended for structured guidance and life planning, not sensitive data storage or records custody. You are responsible for maintaining your own copies of important documents and information.
11. Privacy; Consumer Health Data
11.1 Privacy Policies. PharosLife’s collection, use, and disclosure of personal information in connection with the Subscription Services is described in the Privacy Policy, and, with respect to Consumer Health Data, the Consumer Health Data Privacy Policy. Both are incorporated into this Agreement by reference. PharosLife does not sell or share your personal information or Consumer Health Data.
11.2 Consumer Health Data. You acknowledge that information you enter into the Platform — including planning inputs, life-event categories, notes, and checklists relating to your or a loved one’s past, present, or future physical or mental health condition or status — may constitute Consumer Health Data under state consumer health privacy laws, including the Washington My Health My Data Act, the Nevada Consumer Health Data Privacy Act, the Connecticut Data Privacy Act, the Virginia Consumer Data Protection Act, and similar laws (collectively, “Consumer Health Privacy Laws”). PharosLife processes Consumer Health Data only as described in the Health Privacy Policy and only with the consent required by applicable Consumer Health Privacy Laws.
11.3 Consent; Withdrawal. Where applicable Consumer Health Privacy Laws require your consent for the collection, processing, or disclosure of Consumer Health Data, you provide that consent through the mechanisms PharosLife presents to you, and you may withdraw it at any time in Settings, under Security & Privacy, or by contacting privacy@mypharoslife.com. Withdrawing a consent permanently deletes the information recorded under it. Withdrawal of consent does not affect the lawfulness of processing carried out before the withdrawal, and may limit or prevent your continued use of some or all of the Subscription Services. If withdrawal of consent prevents PharosLife from providing the Subscription Services to you, either Party may terminate this Agreement under Section 17.
11.4 Your Privacy Rights. You may exercise the access, portability, correction, deletion, consent, appeal, and other rights described in the Privacy Policy and the Health Privacy Policy by contacting privacy@mypharoslife.com. Exercising a deletion right may require termination of your subscription, and deletion of Subscriber Content necessary to provide the Subscription Services may render the Subscription Services unusable.
11.5 Analytics and Session Recording. The Platform uses cookies and analytics and session-recording technologies as described in, and governed by, the Privacy Policy and the Health Privacy Policy. You may review, approve, or withdraw your tracking preferences at any time through the cookie preferences control PharosLife makes available and through your browser settings. Non-essential cookies and analytics are used only if you opt in, and session recording is never used on pages where you enter or view health or financial information.
11.6 Security. PharosLife maintains administrative, technical, and physical safeguards designed to protect Subscriber Content, as described in the Privacy Policy and the Health Privacy Policy. No system is completely secure, and PharosLife does not guarantee that Subscriber Content will not be subject to unauthorized access.
12. AI-Enabled Features
12.1 AI Chatbot and AI Outputs. The Subscription Services may include artificial intelligence features, including Ask Pharos, an AI assistant that answers questions about how to use the Platform, what a section or task means, and general planning topics, using PharosLife's knowledge base, and AI-generated suggested actions, checklists, and educational or planning guidance (“AI Outputs”). Ask Pharos receives what you type and limited context about where you are in the Platform; it does not receive the information you have entered in your Plan Accounts. It is powered by a third-party AI provider, which processes your inputs on PharosLife’s behalf as a service provider under contract. Use of Ask Pharos consumes AI Credits as described in Section 4.3.
12.2 No Training on Your Inputs. As described in the Privacy Policy, your inputs to Ask Pharos are not used to train the AI provider’s models and are retained only as necessary to provide the feature. PharosLife keeps your Ask Pharos conversation history for thirty (30) days.
12.3 Limitations of AI Outputs. You acknowledge that AI Outputs are based on general information and patterns, may not be complete, accurate, or applicable to your situation, and are not a substitute for professional advice. AI Outputs are not medical, diagnostic, legal, financial, or tax advice. PharosLife does not use AI features to make decisions about you.
12.4 Your Responsibility. You are solely responsible for reviewing AI Outputs and for any decision you make based on them, and for obtaining qualified professional advice before acting on any guidance provided through the Subscription Services.
12.5 Future AI Features. PharosLife may introduce additional AI-powered features. Any such feature will be subject to additional terms and disclosures provided at the time it is made available.
13. No Professional Advice
13.1 Information Only. All information, workflows, checklists, and guidance provided through the Subscription Services is for general informational purposes only and does not constitute legal, financial, tax, medical, or other professional advice.
13.2 No Substitute for Professionals. The Subscription Services do not replace, and are not a substitute for the judgment of, attorneys, financial advisors, tax professionals, estate planners, or health care providers. PharosLife does not access or control financial accounts, does not execute transactions on your behalf, and does not act as your fiduciary, agent, or representative.
13.3 Your Decisions. You are solely responsible for decisions you make in connection with your use of the Subscription Services and for obtaining qualified professional advice before acting.
14. Third-Party Services
14.1 Providers. The Subscription Services rely on third-party providers, including hosting and email delivery, sign-in and address lookup, analytics, AI, and payment processing providers. A list of PharosLife's current service providers is available on request. PharosLife requires its service providers to protect information processed on PharosLife’s behalf by written contract and to process it only for the purposes for which PharosLife engaged them.
14.2 No Responsibility for Third Parties. PharosLife is not responsible for the performance, availability, or privacy or security practices of third-party services that you engage directly, or for any third-party website or resource linked from the Platform. Your use of any such third-party service is subject to that provider’s own terms.
15. Intellectual Property; Subscriber Content; Feedback
15.1 PharosLife Property. All content and materials provided through the Platform — including its design, frameworks, workflows, templates, checklists, software, and all intellectual property rights therein — are owned by PharosLife or its licensors. Except for the limited access right granted in Section 2.1, no rights are granted to you, by implication or otherwise.
15.2 Subscriber Content. You retain all rights you hold in your Subscriber Content. You grant PharosLife a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process Subscriber Content solely as necessary to provide, maintain, secure, and support the Subscription Services for you and your Authorized Users, and as described in the Privacy Policy and the Health Privacy Policy. PharosLife will not use Subscriber Content to train generative AI models.
15.3 Aggregated and De-Identified Data. PharosLife may create and use aggregated or de-identified data derived from use of the Platform to operate, analyze, and improve the Subscription Services, provided that such data cannot reasonably be used to identify you or any individual and is not disclosed in a manner that identifies you.
15.4 Feedback. You may submit feedback, comments, and suggestions regarding the Platform (“Feedback”), including by emailing info@mypharoslife.com. You acknowledge and agree that all Feedback is the sole and exclusive property of PharosLife, and you hereby irrevocably assign to PharosLife all of your right, title, and interest in and to all Feedback, including all worldwide patent, copyright, trade secret, moral, and other proprietary or intellectual property rights therein. At PharosLife’s request and expense, you will execute documents and take such further acts as PharosLife may reasonably request to assist PharosLife in acquiring, perfecting, and maintaining its rights in the Feedback.
16. [Reserved]
17. Term; Suspension; Termination
17.1 Term. This Agreement begins on the Effective Date and continues for the duration of your Subscription Term, including each Renewal Term, until terminated in accordance with this Section 17.
17.2 Termination or Suspension for Cause. PharosLife may suspend or terminate your access to the Subscription Services, in whole or in part, effective on notice to you, if (a) you materially breach this Agreement, including Sections 8, 9, or 10, and fail to cure the breach within ten (10) days after notice (or immediately, where the breach cannot be cured or creates a security, safety, or legal risk); (b) amounts remain unpaid after the Grace Period described in Section 4.5; or (c) suspension is necessary to comply with applicable law or a valid legal process.
17.3 Termination Without Cause. Either Party may terminate this Agreement for convenience. You may do so by cancelling under Section 6.3, effective at the end of your then-current Subscription Term. PharosLife may do so on at least thirty (30) days’ written notice, effective on the date stated in the notice, with the pro-rated refund described in Section 7.3.
17.4 Discontinuation of the Subscription Services. If PharosLife discontinues the Subscription Services or your Subscription Plan in its entirety, PharosLife will provide you at least thirty (30) days’ advance written notice, will refund the pro-rated portion of any prepaid Subscription Fees for the unused remainder of your then-current Subscription Term, and will make your Subscriber Content available for export as described in Section 18.2.
18. Effect of Termination
18.1 Access Ends. On expiration or termination of this Agreement, your right to access and use the Subscription Services terminates, and all amounts accrued and payable to PharosLife become immediately due.
18.2 Export of Subscriber Content. For thirty (30) days following expiration or termination (other than termination for cause under Section 17.2 arising from your unlawful conduct), PharosLife will make commercially reasonable efforts to make your Subscriber Content available to you for export in a portable format, using the export functionality of the Platform, whatever your Subscription Plan.
18.3 Deletion. Following the export period, PharosLife will delete or de-identify your Subscriber Content in accordance with its retention practices described in the Privacy Policy, subject to Sections 9.8(c) and 9.11 and except to the extent retention is required by applicable law or is necessary to resolve a dispute or enforce this Agreement. You may request earlier deletion at any time by contacting privacy@mypharoslife.com or as described in Section 18.4.
18.4 Deleting Your Account. You may request deletion of your Account at any time from your Account settings, after confirming your identity. Deletion takes effect seven (7) days after your request, and you may cancel it during that time by signing in or by using the link PharosLife sends you. Before you confirm, PharosLife will offer you the option to hand over any Plan Account or Family plan you own. If you own a Family plan and do not hand it over, the Family plan will close when your deletion takes effect; each Covered Member keeps their own personal Plan Account and will be notified when you make your request. A deletion request takes effect even if your Account is in a Grace Period or a Locked Period.
18.5 Survival. Sections 1, 4 (as to amounts accrued), 7, 9.9, 9.11, 10, 11, 12.3, 13, 15, 18, 19, 20, 21, 23, 24, and 25 survive expiration or termination of this Agreement.
19. Disclaimer of Warranties
19.1 As-Is. THE SUBSCRIPTION SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PHAROSLIFE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PHAROSLIFE MAKES NO GUARANTEE REGARDING THE ACCURACY OF CONTENT, THE COMPLETENESS OF GUIDANCE, OR THE AVAILABILITY, RELIABILITY, OR ERROR-FREE OPERATION OF THE PLATFORM.
19.2 Availability. PharosLife does not guarantee continuous or uninterrupted availability of the Subscription Services and may interrupt or discontinue the Subscription Services as described in Sections 2.4 and 17.4. PharosLife is not liable for any interruption, delay, or failure to perform resulting from causes outside its reasonable control.
19.3 Statutory Rights. Some jurisdictions do not allow the exclusion of certain warranties, so some or all of the exclusions in this Section 19 may not apply to you, and nothing in this Agreement limits any non-waivable statutory right you have as a consumer.
20. Limitation of Liability
20.1 Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PHAROSLIFE NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SUBSCRIPTION SERVICES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, MISSED DEADLINES OR OBLIGATIONS, DECISIONS MADE USING THE PLATFORM, OUTCOMES RELATED TO LIFE EVENTS, OR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SUBSCRIPTION SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PHAROSLIFE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
20.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, PHAROSLIFE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SUBSCRIPTION SERVICES WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID DIRECTLY TO PHAROSLIFE FOR THE SUBSCRIPTION SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
20.3 Allocation of Risk. YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SUBSCRIPTION SERVICES REMAINS WITH YOU, AND THAT THE LIMITATIONS IN THIS SECTION 20 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND REFLECT AN ALLOCATION OF RISK CONSISTENT WITH THE SUBSCRIPTION FEES CHARGED.
20.4 Exceptions. Some jurisdictions do not allow the limitation of certain liabilities, so some or all of this Section 20 may not apply to you. Nothing in this Section limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.
21. Indemnification
21.1 Your Indemnity. You agree to indemnify, defend, and hold harmless PharosLife and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of: (a) your access to or use of the Subscription Services or your violation of this Agreement; (b) your violation of any third-party right, including any intellectual property, property, or privacy right; (c) your input of third-party personal information into the Platform without the consent or authority required by Section 9.2, including any inaccurate declaration of legal authority, or any false attestation of another person's death or incapacity; (d) your submission or storage of Prohibited Data; and (e) any claim that your use of the Subscription Services caused damage to a third party, except to the extent a claim is caused by PharosLife's own negligence or misconduct.
21.2 Procedure. PharosLife will provide you with prompt written notice of any claim for which it seeks indemnification, and you will not settle any such claim in a manner that imposes any obligation or admission on PharosLife without PharosLife’s prior written consent. PharosLife may participate in the defense of any such claim with counsel of its own choosing at its own expense.
22. Changes to this Agreement and the Subscription Services
22.1 Amendments. PharosLife may update this Agreement from time to time. For material changes, PharosLife will provide written notice to the email address associated with your Account, or through a prominent notice in the Platform, at least thirty (30) days before the changes take effect. Your continued use of the Subscription Services following the notice period constitutes acceptance of the updated Agreement.
22.2 Your Right to Reject. If you do not agree to a fee change under Section 4.7, you may cancel before it takes effect, as described in Section 6.3, and you will not be charged the new fee. If you do not agree to a material change to this Agreement that is adverse to you, or to a material reduction in the core functionality of your Subscription Plan, you may cancel your subscription before the change takes effect, and PharosLife will refund the pro-rated portion of any prepaid Subscription Fees covering the remainder of your then-current Subscription Term.
22.3 Policy Updates. The Privacy Policy, Health Privacy Policy, and Terms of Service may be updated in accordance with their own terms, provided that PharosLife will give you the notice described in Section 22.1 before a material change to any of them takes effect with respect to the Subscription Services. In the event of a conflict between this Agreement and the Terms of Service with respect to the Subscription Services, this Agreement controls. However, the Privacy Policy and the Health Privacy Policy govern the collection, use, disclosure, and protection of personal information and Consumer Health Data, and control over this Agreement with respect to those data practices; any description of those practices in this Agreement is a summary for convenience only, does not modify the Privacy Policy or the Health Privacy Policy, and will be read consistently with them as they are updated from time to time.
23. Governing Law; Venue; Class Action Waiver
23.1 Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except that nothing in this Agreement takes away any protection you have under the consumer laws of the state where you live that cannot be waived by agreement.
23.2 Venue. Any dispute arising out of or relating to this Agreement or the Subscription Services will be brought in the state or federal courts for the county where you live or for Alameda County, California, and each Party consents to the personal jurisdiction of those courts. Either Party may instead bring an eligible claim in small claims court.
23.3 CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PHAROSLIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE FOR A PARTICULAR CLAIM, THIS SECTION WILL NOT APPLY TO THAT CLAIM, AND THE REST OF THIS AGREEMENT WILL REMAIN IN EFFECT.
23.4 Notice to California Residents. If you are a California resident, under California Civil Code § 1789.3 you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210, in order to resolve a complaint regarding the Subscription Services or to receive further information regarding their use.
24. Notices
24.1 Notices to You. PharosLife may provide notices to you by email to the address associated with your Account, or by a prominent notice within the Platform. You are responsible for keeping your email address current.
24.2 Notices to PharosLife. Notices to PharosLife must be sent in writing to PharosLife, Inc., Attn: Legal, 1311 Park St, Unit #676, Alameda, CA 94501, with a copy by email to legal@mypharoslife.com. Notices are effective on receipt. Routine support requests and cancellation requests are not notices under this Section and should be sent as described in Sections 2.5 and 6.3.
24.3 Effectiveness. Notices are effective on the date of email transmission or, if sent by mail, three (3) business days after deposit with a nationally recognized overnight courier or first-class mail, postage prepaid.
25. General
25.1 Entire Agreement. This Agreement, together with the Privacy Policy, the Health Privacy Policy, and the Terms of Service, constitutes the entire agreement between the Parties regarding the Subscription Services and supersedes all prior or contemporaneous understandings on that subject.
25.2 Assignment. Except as expressly permitted under Sections 9.6 through 9.13, you may not assign or transfer this Agreement or your Account, by operation of law or otherwise, without PharosLife's prior written consent. PharosLife may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
25.3 Force Majeure. PharosLife will not be liable for any interruption, delay, or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, government actions, labor disputes, internet or infrastructure outages, or failures of third-party providers.
25.4 Severability. If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
25.5 No Waiver. No failure or delay by either Party in exercising any right under this Agreement constitutes a waiver of that right.
25.6 Relationship of the Parties. The Parties are independent contractors. This Agreement does not create any partnership, joint venture, agency, fiduciary, or employment relationship between the Parties.
25.7 No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement, except that Authorized Users may access the Subscription Services through your Account as permitted under Section 9.
25.8 Electronic Acceptance. You consent to transact electronically with PharosLife and agree that your electronic acceptance of this Agreement, and any electronic signature or affirmative click-through, has the same legal effect as a handwritten signature.
25.9 Headings. Section headings are for convenience only and do not affect the interpretation of this Agreement.
